Vinlit Property Search
I. AGREEMENT
This Client Agency Agreement (together referred to herein as “Agreement”) is made and entered into by the client name of client address (referred to herein as “Client”) and the Rental Search and Property Acquisition Agency firm of VINLIT LTD (“Agent”). Client and all parties represented by Client engage Agent to act as Client’s agent to assist with either the renting or Purchasing of property relevant to the property type stated.
II. TERM OF AGREEMENT
This Agreement is effective for 3 months from the date of the acceptance. If, at the time of expiration, the Client has entered into a rental agreement for property that was located by the agent during the term of the Agreement, the parties agree that this Agreement will automatically extend through the closing date of the transaction.
III. AGENT’S DUTIES
The Agent will provide the following :
A. Location search if required by the client.
B. Property search filtering and the previewing of potential properties (where possible)Evaluating their suitability to the Client’s needs.
C. Produce a short list of carefully selected properties.
D. Set up viewings from the shortlist and accompany and be protective of the client’s interest.
E. When finding a suitable property offer on the Client’s behalf to the mandated agent/landlord representative to agree on an amount (subject to contract), with solicitors, architects, and other consultants where necessary.
Additional services:
If required, at an additional fee to be agreed upon with Vinlit Ltd which can :
A. Oversee refurbishment/furnishing or any other post-tenancy completion.
B. Arrange for fixtures and fittings and furnishings to be delivered and fitted.
C. Property management.
IV. CLIENT’S DUTIES
A. Client agrees to work together with Agent to find and rent or Purchase a property.
B. The client is not subject to a Client agency agreement with another Agent. By entering into multiple Client agency agreements, the Client understands that he would be liable for paying multiple fees.
C. Client to view the property at his convenience with the Property search agent.
D. Client agrees to refer to Agent all leads and information about properties that may interest Client.
E. Client agrees to schedule all appointments to see property exclusively through Agent.
V. TERMINATION OF AGENCY
A. The Client may serve upon the Agent 7 days’ notice in writing to terminate this agreement before the stated completion date should the Agent not fulfill the obligations set out in clause III and provided that the Client has not exchanged contracts upon a property/properties introduced by the Agent.
B. Should the Client rent or purchase a property introduced by the Agent within 12 months of the termination notice expiring, the fee shall become immediately payable.
C. The Agent may serve 7 days’ notice upon the Client to terminate this agreement if the Client does not fulfill the duties set out in clause IV of this agreement or for any other reason.
VI. FEES
Client shall pay an amount agreed with the Agent (the “Fee”). The Fee is payable upon signing of the lease. If required by Agent A deposit agreed with the Agent is payable upon signing of contracts which will be deducted from the final fee.
For the avoidance of doubt, the fee shall also become payable if:
A. Client enters into an enforceable rental agreement or other agreement to rent real property relevant to the Client’s initial requirements during the term of this Agreement.
B. Within 12 months of termination of this Agreement, Client enters into an enforceable rental or Purchase agreement, or other agreement to rent or purchase a real property which was
identified during the term of this Agreement; or
C. If the completion of a rental /purchase agreement is prevented by the Client’s default, compensation to the Agent is due upon default.
VII. AGENTS LIABILITY
Unless caused by the agent’s negligence in providing the service no liability shall be attached to the Agent whether it be in contract, tort, or otherwise for any damage, loss, injury, or legal or other expenses incurred as a result of:
A. Any defect whether latent or apparent or failure to identify any defect in a property, appliances, furnishings, fixtures, and fittings.
B. Any forecast by the Agent of market rents, or future income or expenditure.
C. The Agent has relied upon the Client to provide all relevant information.
D. The omission, act, or insolvency of any person other than the Agent. E. Any delay in submission of offers or retrieving of details.
The Agent shall not be held liable to indemnify the Client in respect of any claims made by a third party for any damages, loss, injury, or legal or other expenses as referred to in clauses VII A to E.
The Agent shall in no circumstances be made liable for any damage loss or consequence save where death or injury results from the Agent’s negligence.
The Agent shall not be held liable for any of the Client’s costs in relation to the renting of the property such as fees for a solicitor, surveyor, mortgage, letting agent nag refurbishment, and furnishing costs.
VIII. CONTACT BETWEEN CLIENT AND AGENT
A. The Client agrees upon the signing of this Agreement to liaise and instruct the Agent in a timely manner. B. All instructions to the Agent by the Client must be confirmed in writing or if provided verbally confirmed in writing or by email.
C. The Client will immediately inform the Agent of any changes in circumstances which may affect the service provided.
IX. AMENDMENTS
These terms and conditions may be subject to change without notice, but where the Agent has received a signed instruction these terms and conditions shall remain in full force until the service has been completed or the agency terminated by either party subject to clause V. However, should both parties agree, Client requirements are subject to change and will be confirmed in writing or via email.
X. IDENTITY PROTECTION
Details of the Client provided to the Agent are strictly confidential. Details will only be forwarded to other parties at the Client’s request. The Client agrees without prior notice to their details being provided to the renting agent upon an offer made for a property.
